Client Agreement & Engagement Terms

These terms explain how Lamtas provides business, technology, outsourcing, documentation, marketing, research, consulting, creative, financial, administrative, training, and other professional services.

Effective Date: September 9, 2026

Important Information

These Client Agreement & Engagement Terms apply to services provided by Lamtas unless different or additional terms are expressly agreed in a written quotation, proposal, statement of work, service agreement, order, subscription, or other written engagement document.

If a specific written engagement document conflicts with these general terms, the specific engagement terms will generally govern the particular project or service to the extent of the conflict.

1. About These Engagement Terms

These Client Agreement & Engagement Terms ("Terms") govern the relationship between Lamtas ("Lamtas," "we," "our," or "us") and the person, business, organization, or other entity requesting or receiving our services ("client," "you," or "your").

They apply to services provided by Lamtas, including business support, technology and IT services, AI and data services, documents and content, business process outsourcing, virtual assistance, creative and design services, digital marketing, sales and lead generation, finance and accounting support, research and consulting, HR and recruitment support, language and localization, education and training, industry solutions, and other services agreed between the parties.

Additional terms may apply depending on the nature of a particular project, service, subscription, platform, deliverable, or engagement.

2. No Engagement Until Accepted

Sending an enquiry, submitting a contact form, requesting a quotation, communicating by email or online messaging, uploading documents, discussing a potential project, or requesting information does not by itself establish an engagement or create an obligation for Lamtas to provide services.

An engagement becomes effective when Lamtas has accepted the assignment and the applicable engagement requirements have been satisfied.

Depending on the service, this may include:

  • Completion of an initial client intake or requirements process.
  • Confirmation that the requested service is within our scope.
  • Agreement on the scope of work.
  • Agreement on applicable fees and payment arrangements.
  • Acceptance of a quotation, proposal, or statement of work.
  • Acceptance of applicable service or subscription terms.
  • Receipt of any required advance payment or deposit.
  • Provision of information or access reasonably required to begin the work.

3. Scope of Services

Depending on the engagement, Lamtas services may include:

  • Technology and IT services.
  • Website and software-related services.
  • AI, automation, and data services.
  • Technical writing and documentation.
  • Business and professional document preparation.
  • Business process outsourcing.
  • Virtual assistance and administrative support.
  • Creative design and digital content.
  • Digital marketing and SEO services.
  • Sales and lead generation support.
  • Finance and accounting support.
  • Research and consulting services.
  • HR and recruitment support.
  • Language and localization services.
  • Education and training services.
  • Industry-specific solutions.
  • Other services specifically agreed in writing.

The exact services, deliverables, specifications, assumptions, exclusions, timelines, and responsibilities included in an engagement will be determined by the applicable quotation, proposal, service description, order, statement of work, or other written agreement.

4. Services Outside the Agreed Scope

Work outside the agreed scope is not automatically included in the quoted fee.

Additional work may include:

  • Additional documents or deliverables.
  • Substantial changes to the original instructions.
  • Additional rounds of revisions.
  • Additional research or analysis.
  • Urgent or expedited work.
  • Additional meetings or consultations.
  • Additional technical implementation.
  • Additional data processing or analysis.
  • Additional design or content production.
  • Additional administrative or operational support.
  • New requirements introduced after work has commenced.
  • Additional third-party services or integrations.

Where additional work is required, Lamtas will communicate the additional scope and applicable fees before proceeding where reasonably practicable.

5. Client Responsibilities

You are responsible for providing complete, accurate, and timely information, instructions, materials, specifications, approvals, credentials where appropriate, and other information reasonably necessary for Lamtas to perform the agreed services.

You agree to:

  • Provide accurate business, project, technical, and contact information.
  • Provide relevant documents, records, data, and supporting materials.
  • Clearly communicate project objectives and requirements.
  • Identify important deadlines and delivery requirements.
  • Provide necessary access to systems, platforms, or accounts where applicable.
  • Review drafts, designs, reports, documents, or other deliverables.
  • Provide feedback and approvals within a reasonable period.
  • Notify Lamtas promptly of material changes affecting the project.
  • Ensure that materials supplied to Lamtas may lawfully be used for the engagement.

Lamtas may rely on information supplied by the client unless the engagement expressly requires independent verification or validation.

6. Project Requirements and Specifications

Services and deliverables are developed based on the information, requirements, objectives, specifications, assumptions, and instructions communicated by the client.

Clients are responsible for communicating material requirements that could affect the design, development, documentation, research, analysis, implementation, delivery, or performance of a project.

Where a project involves technical systems, software, websites, integrations, data, automation, third-party platforms, or other technical environments, the final result may depend on the client's existing systems, configurations, access permissions, infrastructure, software versions, third-party services, and other external factors.

7. Documents, Content and Deliverables

Depending on the engagement, Lamtas may prepare or provide documents, reports, presentations, templates, procedures, policies, work instructions, technical documentation, business resources, marketing materials, research outputs, designs, data outputs, training materials, websites, software-related work, administrative outputs, or other agreed deliverables.

Deliverables are prepared according to the agreed scope and based on the information available to Lamtas at the time of preparation.

Clients are responsible for reviewing final deliverables and confirming that names, figures, factual information, specifications, branding, technical details, business requirements, and other material information are accurate before use or implementation.

8. Research, Analysis and Professional Information

Certain Lamtas services may involve research, data analysis, business analysis, market research, technical research, industry research, financial analysis, or other forms of professional information.

Research and analysis are conducted within the agreed scope and based on the information, sources, data, assumptions, and requirements available at the time of the engagement.

No research or analysis can guarantee that every relevant fact, development, risk, opportunity, market condition, technical issue, or future event will be identified.

Where appropriate, clients should independently verify material findings before making significant decisions.

9. Technology, Software, AI and Data Services

Technology, software, artificial intelligence, automation, data, website, cloud, cybersecurity, and related services may depend on third-party software, APIs, hosting providers, infrastructure, platforms, data sources, libraries, models, integrations, and other technologies.

Lamtas does not guarantee that a technology solution will remain compatible with every third-party system or future software version.

AI-generated or automated outputs may require human review, verification, editing, testing, validation, or additional processing before they are used in business or operational environments.

Clients remain responsible for determining whether a particular technology, AI output, dataset, software configuration, or automated process is appropriate for their intended use.

10. Fees and Payment

Fees are determined according to the nature, scope, complexity, volume, customization, urgency, and requirements of the engagement.

Factors that may affect pricing include:

  • Complexity of the project.
  • Number and length of deliverables.
  • Amount of research or analysis required.
  • Technical complexity.
  • Level of customization.
  • Volume of work or data.
  • Turnaround requirements.
  • Number of revisions.
  • Third-party integrations or services.
  • Ongoing support requirements.

The applicable quotation, proposal, order, subscription, or engagement documentation will specify the agreed fee and payment arrangements.

Unless otherwise agreed, work may begin only after any required payment, deposit, subscription, or other financial requirement has been satisfied.

11. Additional Fees

Additional fees may apply where the client requests work outside the original scope or where material project requirements change after work has commenced.

We will, where reasonably practicable, notify you before undertaking substantial additional work that is likely to result in additional charges.

12. Revisions and Changes

Revision rights depend on the service package, quotation, proposal, order, or engagement terms applicable to the project.

Reasonable revisions intended to correct errors or incorporate feedback within the original instructions may be included where expressly agreed.

New instructions, material changes to the project, additional deliverables, additional features, substantial restructuring, or changes to previously approved work may constitute additional work.

13. Delivery and Turnaround

Estimated turnaround times are based on the information, requirements, resources, and scope available when the quotation or engagement is issued.

Delivery may be affected by:

  • Project complexity.
  • Client responsiveness.
  • Incomplete or delayed information.
  • Additional research or technical requirements.
  • Third-party dependencies.
  • Requested revisions.
  • Changes to the scope of work.
  • Technical failures or platform interruptions.
  • Other circumstances outside Lamtas's reasonable control.

Unless expressly agreed in writing, estimated delivery dates are estimates rather than guaranteed deadlines.

14. Confidentiality

Lamtas treats client business, commercial, technical, financial, operational, strategic, project, and other confidential information with appropriate confidentiality and reasonable care.

Confidential information will generally be used only for purposes connected with the requested service or engagement.

Information may nevertheless be disclosed where required or permitted by applicable law, legal process, regulatory requirement, or where reasonably necessary to protect legal rights or prevent fraud, abuse, security incidents, or other unlawful activity.

15. Electronic Communications and Security

Lamtas may communicate with clients electronically through email, website forms, online messaging platforms, collaboration tools, project-management systems, document-sharing platforms, and other agreed communication channels.

Although reasonable security measures may be used, no electronic communication, network, platform, storage system, or online service can be guaranteed to be completely secure.

Clients should notify Lamtas promptly if they believe that an account, communication channel, access credential, or document containing confidential information has been compromised.

16. Client Review and Approval

Clients are responsible for reviewing drafts, designs, reports, documents, websites, software-related work, data outputs, marketing materials, presentations, training materials, and other deliverables before approving them for final use.

Approval may be communicated through email, project-management platforms, online marketplaces, written confirmation, acceptance of a deliverable, or another agreed communication method.

Once a deliverable has been approved, subsequent material changes may be treated as additional work unless otherwise agreed.

17. Intellectual Property and Use of Deliverables

Ownership, licensing, usage rights, and other intellectual property rights relating to project-specific deliverables will depend on the applicable quotation, proposal, statement of work, service agreement, license, order, or other written terms.

Unless otherwise agreed, the client's pre-existing materials, information, branding, data, content, trademarks, systems, and other intellectual property remain the property of the client or the applicable rights holder.

Lamtas retains its underlying know-how, methodologies, workflows, processes, systems, general knowledge, reusable techniques, templates, tools, frameworks, and materials that were developed independently of the client's specific deliverables.

Payment for a service does not automatically transfer ownership of Lamtas's underlying methodologies, reusable systems, general templates, tools, or know-how unless expressly agreed in writing.

18. Third-Party Materials and Services

A project may involve documents, information, software, platforms, APIs, templates, data sources, payment providers, hosting providers, communication systems, or other materials and services supplied by third parties.

Unless expressly agreed, Lamtas does not guarantee the accuracy, availability, security, compatibility, legality, performance, or continued operation of third-party services or materials.

Additional third-party costs, subscriptions, licenses, usage fees, hosting charges, software fees, API charges, or other external costs may be payable by the client where applicable.

19. Online Marketplaces

Clients may engage Lamtas through third-party marketplaces, freelance platforms, software platforms, or other external services.

Where a client chooses to engage through an external platform, the client's use of that platform is also subject to the platform's own terms, policies, payment procedures, privacy practices, security requirements, cancellation procedures, and dispute-resolution mechanisms.

Marketplace-specific policies may govern matters such as orders, payments, delivery, revisions, cancellations, refunds, and platform disputes.

20. No Guarantee of Business or Commercial Outcomes

Lamtas does not guarantee a particular business, financial, marketing, sales, technical, operational, investment, employment, educational, research, or commercial outcome from the use of its services.

Results may depend on factors outside the control of Lamtas, including client decisions, implementation, market conditions, competition, customer behavior, economic conditions, technology, third-party providers, available resources, timing, regulations, and other circumstances.

Examples, testimonials, case studies, sample results, projections, estimates, or descriptions of previous work do not guarantee or predict future results.

21. Reliance on Client Information

Lamtas may rely on information, data, documents, specifications, and instructions supplied by the client unless the engagement expressly requires independent verification.

Lamtas is not responsible for consequences arising primarily from materially inaccurate, incomplete, misleading, unauthorized, or outdated information supplied by the client.

22. Right to Decline or Suspend an Engagement

Lamtas may decline, suspend, or discontinue an engagement where reasonably necessary, including where:

  • The requested work falls outside our services or capabilities.
  • Required information cannot reasonably be obtained.
  • The project presents unacceptable legal, security, technical, operational, or professional risks.
  • The requested work would be unlawful, fraudulent, abusive, or improper.
  • The client fails to provide required information or access.
  • Applicable fees or payment arrangements cannot be agreed or maintained.
  • A third-party platform or service required for the engagement becomes unavailable.
  • Continuing the engagement would materially interfere with applicable obligations or business operations.

23. Termination

An engagement may be terminated in accordance with the applicable quotation, proposal, statement of work, service agreement, subscription terms, order terms, or other applicable engagement documentation.

Where an engagement is terminated, the client remains responsible for fees properly earned, approved expenses, third-party costs, completed work, and other amounts properly incurred before termination, subject to the applicable agreement and law.

Where appropriate, Lamtas may provide completed or substantially completed deliverables in accordance with the applicable engagement terms.

24. Refunds and Cancellations

Refunds and cancellations are governed by the specific quotation, engagement terms, order terms, subscription terms, applicable refund policy, or third-party marketplace rules.

Where work has already commenced, any refund entitlement may depend on the amount of work performed, expenses incurred, third-party costs, applicable platform rules, and applicable law.

Where a project is processed through a third-party marketplace, that marketplace's applicable refund and cancellation rules may also apply.

25. Client-Provided Materials

Clients represent that they have the necessary rights, permissions, licenses, and authority to provide materials, documents, data, images, software, branding, content, records, and other resources supplied to Lamtas for use in an engagement.

Clients remain responsible for ensuring that materials supplied to Lamtas do not unlawfully infringe the rights of third parties.

26. Limitation of Responsibility

To the extent permitted by applicable law and the applicable engagement terms, Lamtas's responsibility for services is limited to the scope expressly agreed with the client.

Lamtas is not responsible for consequences resulting primarily from:

  • Incorrect or incomplete information supplied by the client.
  • Failure to disclose material project requirements.
  • Use of a deliverable outside its agreed purpose or scope.
  • Changes to third-party software, platforms, APIs, or services.
  • Changes in technology, regulations, market conditions, or industry requirements.
  • Failure to properly implement or maintain a deliverable.
  • Failure to obtain required third-party approvals, licenses, or permissions.
  • Actions or omissions of third parties.
  • Events outside Lamtas's reasonable control.

Nothing in these Terms is intended to exclude or limit liability to the extent such exclusion or limitation is prohibited by applicable law.

27. Force Majeure and Events Beyond Our Control

Lamtas will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including significant technology failures, internet disruptions, hosting failures, platform outages, widespread cyber incidents, natural disasters, government actions, telecommunications failures, supplier failures, or other events that materially interfere with our ability to perform an engagement.

28. Relationship With Other Website Policies

These Terms should be read together with other applicable policies and terms published on the Lamtas website, including:

A specific quotation, proposal, service agreement, statement of work, order, subscription, or other written engagement may contain additional provisions applicable to a particular client, project, or service.

29. Changes to These Terms

Lamtas may update these Terms from time to time to reflect changes in its services, business practices, technology, third-party integrations, operational processes, or applicable legal requirements.

The version applicable to a particular engagement will generally be the version incorporated into or referenced by the applicable engagement documentation.

30. Severability

If any provision of these Terms is determined to be invalid, unenforceable, or prohibited under applicable law, that provision will be interpreted or limited to the extent necessary, and the remaining provisions will continue to apply to the extent permitted by law.

31. Entire Agreement

The applicable engagement agreement, quotation, proposal, service order, statement of work, subscription terms, and these Terms constitute the terms governing the relevant engagement, together with any other documents expressly incorporated into the engagement.

Where there is an inconsistency between general website terms and specific written engagement terms, the specific engagement terms will govern to the extent of the inconsistency.
